Maroc : L’OCP lève avec succès 1,5 milliard de dollars sur les marchés internationaux

Le Groupe marocain Office Chérifien des Phosphates (OCP) a procédé avec succès à une émission obligataire sur les marchés internationaux pour un montant total de 1,5 milliard de dollars, annonce un communiqué du Groupe.

“Conformément à l’autorisation de son Conseil d’Administration ainsi que de l’Assemblée Générale datée du 4 Juin 2021, OCP S.A. a annoncé avoir procédé avec succès à une émission obligataire sur les marchés internationaux pour un montant total de 1,5 milliard USD”, indique le communiqué.

Selon l’OCP, cette nouvelle émission est composée de deux tranches de maturités de 10 et 30 ans, assorties de coupons respectifs de 3,750% et 5,125%.

Ces fonds seront utilisés pour le financement de la seconde phase de son programme d’investissement ainsi que pour le rachat partiel de ses obligation internationales existantes arrivant à maturité en 2024 et 2025, afin d’allonger le profil de maturité de sa dette.

“Le succès de cette émission obligataire internationale témoigne de la qualité de la signature du Groupe OCP auprès des investisseurs internationaux. Par ailleurs, l’objectif de cette démarche proactive d’OCP est d’optimiser notre structure financière en tirant profit de l’évolution des conditions de marché”, poursuit la même source, citant le Président-directeur général d’OCP, Mostafa Terrab.

Les résultats définitifs de l’opération font état d’une sursouscription à plus de 4,7 fois le montant recherché, soit un total d’environ 7 milliards de dollars pour les deux tranches, permettant un resserrement significatif des taux pour les deux maturités.

Le succès de l’opération est illustré également par une prime de nouvelle émission négative de -10 points de base pour les deux tranches avec les plus bas niveaux de taux réalisés par le groupe sur ces maturités. En plus du plus grand carnet d’ordre réalisé en Afrique, tous secteurs confondus, cette année.

La plus grande tranche de 30 ans jamais réalisée par une société du secteur dans la région MENA.

Et de noter que les obligations sont cotées à l’Euronext Dublin et sont notées (BB+/ stable) par Fitch Ratings et (BB+/stable) par Standard & Poors. Les banques co-chefs de files mandatées pour l’émission et la mise en œuvre de l’opération de gestion de passifs sont Barclay’s, BNP Paribas et J.P.Morgan.

Dans cette opération, le groupe OCP a été conseillé par Rothschild & Co, fait savoir le communiqué.

Ces obligations ont été placées auprès d’investisseurs institutionnels qualifiés, gestionnaires de fonds, banques et banques privées dans divers pays incluant le Maroc, les Etats-Unis, le Royaume-Uni, ainsi que plus largement en Europe, au Moyen-Orient et en Asie, souligne-t-on.
